What is the difference between the DPC3941T and CGM4981COM

I have attempted to "upgrade" two different CGM4981COM modems and both failed to find a signal.  I don't know if upgrading is even worth it at this point.  What's the difference between the two models?  Why does Xfinity need me to upgrade if the old model is working just fine?
